Our client, an Austin area law firm, is looking to hire an experienced Corporate Attorney to join their team. The ideal candidate will have experience in advising clients on a wide range of entity and business transactions, including mergers and acquisitions, restructurings, capital raises, and other business arrangements. The role requires a strong understanding of entity and general business law, excellent negotiation skills, and the ability to provide strategic legal advice to clients.
Responsibilities:
- Draft, review, and negotiate various corporate, partnership and L.L.C. agreements, including mergers and acquisitions, asset purchase agreements, stock purchase agreements, and partnership and company agreements.
- Advise clients on entity governance matters, including drafting formation, organization and ownership agreements, bylaws, and authority and transactional approval resolutions.
- Conduct due diligence investigations in connection with merger, disposition and acquisition transactions.
- Provide legal support and guidance to clients on a wide range of entity and business matters, including securities law compliance, debt and equity finance, employment matters and regulatory compliance.
- Collaborate with other attorneys and professionals, such as lenders, investment bankers and accountants, to facilitate successful transactions.
- Keep abreast of changes in entity and general business law and regulations and provide updates to clients and colleagues as necessary.
- Represent clients in negotiations and meetings with opposing parties, regulatory authorities, and other stakeholders.
- Manage and mentor junior attorneys and legal staff as needed.

- This position is in the office in Downtown Austin. Candidates from Dallas, Houston, San Antonio, and surrounding areas are encouraged to apply if they are willing to relocate.
Qualifications:
- Juris Doctor (J.D.) degree from an accredited law school.
- Admission to the State Bar of Texas and in good standing.
- Minimum of four (4+) years of experience practicing entity and business law with a focus on transactional matters in a law firm setting.
- Strong understanding of entity and business law, securities regulations (exempt and/or registered), and entity governance principles.
- Excellent drafting, negotiation, and communication skills.
- Ability to work independently and collaboratively in a fast-paced environment.
- Attention to detail and ability to manage multiple projects simultaneously.
